Terms and Conditions for a2a.ae

Welcome to a2a.ae – Agent to Agent ("a2a.ae", "Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the a2a.ae website, mobile applications, and services (collectively, the "Services"). a2a.ae is operated in compliance with the laws of the United Arab Emirates (UAE) and the regulations set forth by the Dubai Land Department (DLD) and the Real Estate Regulatory Agency (RERA).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not access or use our Services.

1. Introduction and Acceptance of Terms

a2a.ae is a social media and networking platform tailored for the real estate industry in the UAE. It aims to connect real estate businesses and professionals by enabling licensed real estate agents and brokers to list properties (both for sale and client requirements), connect with each other for collaboration and communication, facilitate B2B connections, provide access to listings, and ultimately help businesses increase their turnover.

These Terms constitute a legally binding agreement between you and a2a.ae. You agree that by registering an account, accessing, or using the Services, you have read, understood, and agree to be bound by all of these Terms and to comply with all applicable UAE laws and regulations, including those promulgated by the DLD and RERA.


2. Eligibility

To access and use the Services, you must:

  • Be a natural person operating as, or an authorized representative of, a real estate brokerage firm duly licensed by the relevant economic department and registered with the DLD and RERA in your respective Emirate within the UAE.
  • Hold a valid RERA-certified Real Estate Broker ID card.
  • Possess all necessary licenses, permits (including a valid trade license for your brokerage), and approvals as required by RERA, the DLD, and other relevant UAE regulatory bodies to practice as a real estate agent or broker and to advertise and deal with properties.
  • Be at least 18 years of age and capable of entering into a legally binding agreement.

By using the Services, you represent and warrant that you and your brokerage meet these eligibility requirements. We reserve the right to verify your licensure and registration status at any time and to refuse, suspend, or terminate access to anyone who does not meet these criteria or fails to maintain such status. You agree to provide proof of such licensing and registration upon request.


3. Account Registration and Responsibility

  • Account Creation: To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and later on any time requested, including your full legal name, RERA registration number, brokerage name, and contact details, and to update such information promptly to keep it accurate, current, and complete.
  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  • One Account Per Licensed Professional: Each licensed real estate professional may only operate one individual user account, which must be linked to their RERA-registered brokerage.
  • Account Information: You are responsible for ensuring that your account information, including your RERA registration number, Broker ID card details, and brokerage license details, is always accurate and up-to-date.

4. Services Provided

a2a.ae provides a platform for:

  • Property Listings: Licensed agents and brokers can list properties they are legally authorized to market for sale or lease.
  • Client Requirements: Licensed agents and brokers can indicate the types of properties their clients are looking to buy or lease.
  • Agent/Broker Networking: Facilitating connections, communication, and collaboration between licensed real estate professionals in compliance with DLD/RERA regulations.
  • Information Sharing: Sharing industry-relevant information and insights, subject to compliance with applicable laws.

The platform is designed to enhance B2B interactions within the real estate sector. a2a.ae does not act as a real estate agent or broker itself, does not offer properties directly, and is not a party to any transaction or agreement entered into between users. a2a.ae is not an escrow agent and does not handle any client funds.


5. User Obligations and Conduct

You agree to use the Services in strict compliance with all applicable UAE federal and local laws, regulations, circulars, and guidelines, particularly those issued by the DLD and RERA, including but not limited to the Dubai Real Estate Brokerage Practice Guide and the DLD's Code of Ethics for Real Estate Professionals. Specifically, you agree to the following:

  • Licensing and Registration:
    • Maintain a valid RERA license and Broker ID card, and ensure your brokerage maintains its DLD/RERA registration throughout your use of the Platform.
    • Immediately notify a2a.ae and cease using the platform if your license or your brokerage's license is suspended, revoked, or expires.
  • Property Listing and Advertising Rules (Compliance with DLD/RERA is Mandatory):
    • Trakheesi Permit: You must obtain a valid Trakheesi permit from the DLD for every property you advertise on the Platform before the advertisement is published.
    • QR Codes: Where applicable and required by DLD/RERA
    • Form A (Seller's Agent Agreement): You represent and warrant that you have a valid and duly signed Form A (or equivalent legally binding agreement as per DLD/RERA regulations) with the property owner/seller granting you the authority to market and list the property before creating any listing on a2a.ae.
    • Accuracy and Truthfulness: All property listings (including price, size, location, features, photos, and property status) must be accurate, truthful, complete, not misleading, and must exactly match the details in the associated Trakheesi permit and Form A. Misleading or photoshopped images are strictly prohibited.
    • Legality: You must have the legal authority and all necessary owner consents to list and advertise any property you post.
    • Up-to-Date Information: Listings must be kept current. Properties that are sold, leased, or no longer available for any reason must be promptly removed from the Platform or their status updated accurately within the timeframe stipulated by DLD/RERA (e.g., within 3 days of being flagged or status change).
    • Off-Plan Properties: If listing off-plan properties, you must ensure the project is registered with RERA, has an approved escrow account, and that all advertising complies with specific DLD/RERA regulations for off-plan sales.
    • No Unauthorized Listings: You shall not list properties for which you do not have a valid and current agency agreement (e.g., Form A) and a valid Trakheesi permit.
    • Compliance with Advertising Content: All advertising content must comply with DLD/RERA circulars and guidelines, including any requirements for content in Arabic and English.
  • Professional Conduct and Ethics:
    • Adhere strictly to the DLD's Code of Ethics for Real Estate Professionals, emphasizing principles of trust, confidentiality, honesty, fairness, integrity, transparency, and compliance with laws.
    • Treat all users, clients, and property owners with respect and professionalism.
    • Respect the privacy of property owners and clients. Do not contact property owners who have not consented to be contacted, in line with RERA guidelines (e.g., "Green List" initiative).
    • Avoid any conflicts of interest, or if unavoidable, disclose them fully as per RERA guidelines.
  • Confidentiality of Property Information and Photos:
    • You represent and warrant that you have all necessary rights, permissions, and consents (including from property owners and any relevant third parties, such as photographers holding copyright) to share any property information, including but not limited to details, descriptions, and photographs, on the a2a.ae platform.
    • You agree not to upload, post, or share any confidential information related to a property or its owner without explicit, legally compliant authorization.
    • You acknowledge that you are solely responsible for ensuring that the sharing of property photos and information does not infringe upon any third-party rights, including privacy rights and intellectual property rights.
    • a2a.ae is not responsible for verifying the ownership or your right to share property photos and information. Any liability arising from the unauthorized sharing of confidential information or copyrighted material rests solely with you.
  • Prohibited Conduct: You may not misuse the Platform or its Services. This includes, but is not limited to:
    • Any activity that violates DLD, RERA, or other UAE laws and regulations.
    • Spamming other users.
    • Posting false, defamatory, misleading, or inaccurate information, including fake listings or "bait-and-switch" tactics.
    • Misrepresenting your identity, affiliation, licensure status, or the details of a property.
    • Unauthorized data mining, scraping, or harvesting of content or information from the Platform.
    • Uploading or transmitting viruses, malware, or any other malicious code.
    • Infringing upon the intellectual property rights of others or the Platform.
    • Engaging in any activity that is illegal, fraudulent, or harmful.
    • Attempting to gain unauthorized access to our systems or other users' accounts.
    • Using the platform for any purpose other than its intended use for facilitating connections between licensed real estate professionals for legitimate real estate activities.
    • Sharing your account access with unlicensed individuals or third parties.
    • Listing properties without valid Trakheesi permits or required RERA forms.

6. Commission Agreements

a2a.ae is a platform to facilitate connections between real estate professionals. Any agreements regarding property viewings, negotiations, commission sharing (including use of Form I - Agent to Agent agreement, where applicable), or any other terms of a transaction are solely between the interacting agents or brokers. a2a.ae is not a party to, and will not be responsible or liable for, any commission agreements or disputes arising therefrom. Users are solely responsible for:

  • Defining and agreeing upon commission details.
  • Ensuring all commission agreements and practices comply with RERA and DLD regulations, including rules on transparency, maximum permissible commission rates (if any are stipulated), and the proper handling of Value Added Tax (VAT) on commissions.
  • Formalizing their agreements using appropriate RERA forms where required (e.g., Form B for buyer representation, Form F for sale/purchase MOUs).

7. Content and Intellectual Property

  • User-Generated Content: You retain ownership of the content you submit, post, or display on or through the Services ("User Content"), subject to your representations and warranties in Section 5 regarding your right to share such content. However, by submitting User Content, you grant a2a.ae a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and a2a.ae's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Services, in compliance with applicable laws.
  • Platform Content: The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and all intellectual property rights related thereto ("Platform Content"), are the exclusive property of a2a.ae and its licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such intellectual property rights.
  • Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback and related information in any manner we deem appropriate.

8. Data Privacy

a2a.ae is committed to protecting your privacy. Our collection, use, and disclosure of personal information in connection with your access to and use of the Services are described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you agree to the collection and use of your information in accordance with our Privacy Policy and applicable UAE data protection laws, including Federal Decree Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and any relevant regulations issued by the UAE Data Office or specific DLD/RERA data handling requirements for real estate information. You are responsible for ensuring your own handling of client and property owner data complies with these laws.


9. Termination

  • Termination by a2a.ae: We reserve the right, in our sole discretion, to suspend, restrict access to, or terminate your account and your access to all or any part of the Services at any time and for any reason without prior notice or liability. Reasons for such termination may include, but are not limited to:
    • Violation of these Terms or our Privacy Policy.
    • Non-compliance with DLD, RERA, or other applicable UAE laws and regulations, including but not limited to failure to maintain valid licenses/permits, listing properties without Trakheesi permits, or engaging in misleading advertising.
    • Providing false, inaccurate, or incomplete information, including licensing details.
    • Engaging in prohibited conduct as outlined in Section 5.
    • Failure to maintain valid real estate licensure for yourself or your brokerage.
    • Actions that may cause legal liability for a2a.ae or its users, or bring the Platform into disrepute.
    • Receiving complaints from other users or regulatory bodies regarding your conduct or listings.
  • Reporting to Authorities: a2a.ae reserves the right to report any suspected illegal activity or serious breaches of DLD/RERA regulations by users to the relevant authorities.
  • Termination by You: You may terminate your account at any time by contacting us or through the account settings (if available), provided all outstanding obligations are met.
  • Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms will immediately cease. We will not be liable to you or any third party for any termination of your access to the Services. Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, A2A.AE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

A2A.AE MAKES NO WARRANTY THAT: (I) THE SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (IV) THE QUALITY OF ANY PROPERTIES, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED OR ADVERTISED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

A2A.AE IS A PLATFORM PROVIDER AND IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES. A2A.AE DOES NOT ITSELF VERIFY THE ACCURACY, LEGALITY, OR COMPLIANCE OF ALL USER-SUBMITTED LISTINGS OR INFORMATION WITH DLD/RERA REGULATIONS (INCLUDING OBTAINING TRAKHEESI PERMITS OR FORM A). EACH USER IS SOLELY RESPONSIBLE FOR THEIR OWN DUE DILIGENCE AND COMPLIANCE WITH ALL APPLICABLE REAL ESTATE LAWS AND REGULATIONS. A2A.AE DOES NOT ENDORSE OR GUARANTEE ANY PROPERTY LISTING OR USER.


11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL A2A.AE OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES, OR BREACHES OF DLD/RERA REGULATIONS BY OTHER USERS; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, EVEN IF A2A.AE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL A2A.AE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED UAE DIRHAMS (AED 100) OR THE AMOUNT YOU PAID A2A.AE, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT A2A.AE HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. USERS ACKNOWLEDGE THAT FAILURE TO COMPLY WITH DLD/RERA REGULATIONS MAY RESULT IN SIGNIFICANT FINES AND PENALTIES FROM THE AUTHORITIES, FOR WHICH A2A.AE BEARS NO RESPONSIBILITY.


12. Indemnification

You agree to defend, indemnify, and hold harmless a2a.ae, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and regulatory fines) arising out of or relating to:

  • Your violation of these Terms.
  • Your use of the Services, including, but not limited to, your User Content.
  • Any use of the Platform's content, services, and products other than as expressly authorized in these Terms.
  • Your use of any information obtained from the Services.
  • Your failure to comply with any applicable UAE laws or regulations, including but not limited to DLD and RERA rules, regulations, and advertising guidelines (such as failure to obtain Trakheesi permits or providing inaccurate listing information).
  • Any dispute between you and another user or a third party (including property owners or clients).

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Dubai.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Dubai, UAE, before a single arbitrator. The arbitration shall be administered by the Dubai International Arbitration Centre (DIAC) pursuant to its Arbitration Rules in effect at the time of applying for arbitration. The language of the arbitration shall be English. Judgment on the award may be entered in any court having jurisdiction.

Alternatively, a2a.ae may, at its sole discretion, seek injunctive or other equitable relief in a court of competent jurisdiction in Dubai to prevent the actual or threatened infringement, misappropriation, or violation of its copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Users are encouraged to attempt to resolve any disputes amicably through direct communication or mediation before initiating formal arbitration proceedings. This dispute resolution clause does not prejudice the rights of DLD/RERA to investigate or adjudicate matters falling within their regulatory purview.


14. Modifications to Terms

a2a.ae reserves the right, at its sole discretion, to modify or replace these Terms at any time to reflect changes in law, regulations, or our services. If a revision is material, we will provide at least 30 days' notice (e.g., via email or a notice on the Platform) prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Services.


15. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.


16. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and a2a.ae regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.


17. Waiver

No waiver by a2a.ae of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of a2a.ae to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
